4. Client Responsibilities

Make timely payments for services rendered, as per the agreed-upon terms in the service agreement.

5. Fees and Payment

6. Confidentiality

Ignite Project Consulting understands the importance of confidentiality. We agree not to disclose any confidential or proprietary information received from the client without the client’s consent, except as required by law or as necessary for the completion of our services.

7. Intellectual Property

Any materials, methodologies, or tools developed by Ignite Project Consulting during the course of providing services remain the property of the consulting firm unless otherwise agreed upon.
Clients may not reproduce, distribute, or use any intellectual property developed by Ignite Project Consulting without prior written consent.

8. Limitation of Liability

Ignite Project Consulting will make every effort to provide high-quality services and ensure the success of the project. However, we do not guarantee specific results or outcomes.
Ignite Project Consulting is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
Our total liability is limited to the amount paid by the client for the specific services provided under the service agreement.

9. Termination

Either party may terminate the agreement in writing with 30 days notice. In the event of termination, the client will be responsible for payment for services rendered up to the termination date, and any outstanding fees will remain due.

10. Indemnification

Clients agree to indemnify and hold harmless Ignite Project Consulting from any claims, damages, or losses arising from the use of our services, provided that these arise from the client’s failure to comply with the terms of the service agreement.

11. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Minnesota.
